MIC’D UP CORP (“MIC’D UP,” “we,” “us,” or “our”) provides a live, interactive, AI-moderated media and audience engagement platform through the MIC’D UP mobile application (the “App”), website, and related products, services, content, and technologies located at MIC’D UP (collectively, the “Platform”).
These Terms and Conditions (“Terms”) govern your access to and use of the Platform. By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy located at Privacy Policy, which is incorporated herein by reference.
Please read these Terms carefully before using the Platform. We may revise these Terms from time to time in our sole discretion. Any changes become effective immediately upon posting. Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of those changes.
THESE TERMS INCLUDE IMPORTANT DISPUTE RESOLUTION PROVISIONS, INCLUDING A REQUIREMENT THAT MOST CLAIMS BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN COURT PROCEEDINGS OR CLASS ACTIONS.

Manaakitanga
Manaakitanga is a concept from Te Ao Māori (the Māori world) emphasizing hospitality, respect, generosity, and care for others.
In addition to complying with these Terms, all users are expected to engage respectfully, professionally, responsibly, and in good faith when participating on the MIC’D UP® Platform.
The Platform
The Platform enables users to participate in live, interactive, AI-moderated broadcasts, audience engagement experiences, sports and media commentary programs, premium events, interviews, discussions, educational experiences, creator-led programming, and related digital experiences hosted by professional athletes, creators, broadcasters, universities, organizations, media professionals, and other participants (“Hosts”).
The Platform may include live broadcasts, voice submissions, recorded sessions, archived content, short-form clips, audio, video, text, chat interactions, graphics, branding, AI moderation outputs, engagement analytics, metadata, and other media or communications (collectively, “Content”).
Users may participate in broadcasts and events by submitting voice questions, audio clips, comments, recordings, profile information, chat interactions, or other content through the Platform.
Access to the Platform
Certain portions of the Platform may be publicly accessible. However, access to certain features, broadcasts, programs, subscriptions, or events may require account registration.
To create an account, you must:
- Agree to these Terms and the Privacy Policy;
- Be at least 13 years old or the minimum age required under applicable law in your jurisdiction; and
- Provide accurate, current, and complete registration information.
If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.
By registering for an account, you represent and warrant that:
- You are legally eligible to use the Platform;
- You have not previously been suspended or removed from the Platform;
- All information you provide is accurate and current; and
- You will maintain and promptly update your account information as necessary.
You are solely responsible for all activities conducted through your account.
Recording, Distribution, and Public Participation Consent
By participating in any live or recorded broadcast, event, interaction, or communication on the Platform, you acknowledge and agree that:
- Your voice, image, likeness, username, profile information, comments, submissions, recordings, and participation may be recorded, reproduced, edited, clipped, distributed, publicly displayed, published, archived, promoted, sublicensed, and shared by MIC’D UP® and its affiliates, partners, sponsors, licensees, distributors, and service providers;
- Portions of broadcasts may be converted into clips, highlights, promotional materials, sponsor-presented content, advertisements, social media content, or archived recordings;
- Such materials may be distributed through the Platform, social media platforms, partner channels, sponsor channels, websites, mobile applications, streaming services, and other media now known or later developed;
- Your participation may become publicly viewable and may remain accessible after the live broadcast or event has concluded.
The rights granted to MIC’D UP® under these Terms are perpetual, worldwide, irrevocable, sublicensable, transferable, royalty-free, and fully paid.
You grant MIC’D UP® all rights reasonably necessary to operate, distribute, promote, market, improve, monetize, archive, and provide the Platform and related services.
NIL and Publicity Rights
If you are an athlete, student-athlete, creator, broadcaster, influencer, public figure, or other participant whose name, image, likeness, voice, or persona may have commercial value, you represent and warrant that:
- You possess all necessary rights, permissions, authority, and approvals to participate on the Platform;
- Your participation does not violate any agreement, school policy, league rule, organizational policy, sponsorship obligation, employment obligation, contractual restriction, or applicable law; and
- You authorize MIC’D UP® to use your participation, name, image, likeness, voice, persona, and related materials in connection with the operation, distribution, promotion, marketing, advertising, sponsorship, monetization, and archival display of the Platform.
You further waive any claims relating to rights of publicity, approval rights, inspection rights, or compensation arising from MIC’D UP®’s authorized use of such materials.
You are solely responsible for ensuring your compliance with applicable NIL, institutional, league, contractual, or regulatory obligations.
AI Moderation and Automated Systems
The Platform utilizes AI-assisted and automated moderation technologies designed to support brand-safe, respectful, policy-compliant, and commercially suitable interactions.
These systems may monitor, review, flag, filter, mute, remove, suppress, demonetize, limit visibility of, restrict, or otherwise moderate Content, broadcasts, interactions, or participation that may violate these Terms, applicable law, community standards, sponsor requirements, or Platform policies.
You acknowledge and agree that:
- AI moderation systems are automated technologies and may not always operate perfectly or consistently;
- MIC’D UP® reserves the absolute right, in its sole discretion, to remove, mute, restrict, demonetize, suspend, terminate, or otherwise limit any Content, participation, account, broadcast, or interaction at any time for brand safety, legal compliance, platform integrity, operational, reputational, or business reasons;
- Moderation decisions may occur in real time during live broadcasts;
- Users remain solely responsible for all Content they submit, distribute, or make available through the Platform.
We reserve the right to suspend, restrict, or terminate participation or access where necessary to maintain platform integrity, safety, legal compliance, commercial suitability, or brand safety.
Experimental Features
The Platform may include beta, experimental, AI-assisted, or evolving features that may be modified, suspended, discontinued, unavailable, or operate unpredictably at any time without notice or liability.
MIC’D UP® makes no guarantees regarding the availability, functionality, reliability, or performance of such features.
Fees and Payment
Access to certain portions of the Platform may require payment of subscription fees, licensing fees, event fees, sponsorship-related fees, or other charges.
By purchasing access to paid services, you agree to pay all applicable fees, taxes, and charges associated with your use of the Platform.
Subscriptions may automatically renew unless canceled prior to the applicable renewal date. You authorize the applicable payment processor, app marketplace, or third-party billing provider to charge your payment method for recurring fees until canceled.
Unless otherwise expressly stated:
- Event purchases are non-refundable;
- Subscription cancellations become effective at the end of the current billing cycle; and
- Promotional pricing, trials, and discounts may be subject to additional terms and limitations.
We reserve the right to suspend or terminate access for failed, disputed, reversed, or late payments.
Use of the Platform; Restrictions on Use
Subject to your compliance with these Terms, MIC’D UP® grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful, personal, authorized, and non-commercial purposes unless otherwise approved in writing.
You agree not to:
- Reproduce, distribute, reverse engineer, modify, exploit, or create derivative works of the Platform or Content without authorization;
- Use the Platform to create competing services or products;
- Access accounts, systems, or data without authorization;
- Use bots, crawlers, scrapers, AI agents, automated tools, or data-mining technologies to access the Platform;
- Upload malicious code or interfere with Platform functionality;
- Engage in harassment, abuse, impersonation, hate speech, threats, misinformation, unlawful conduct, or disruptive behavior;
- Circumvent moderation, monetization, or security systems;
- Violate intellectual property, publicity, privacy, contractual, or other legal rights.
We reserve the right to modify, suspend, restrict, discontinue, or remove any portion of the Platform or Content at any time in our sole discretion.
Security of Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.
You agree to notify us immediately of any unauthorized access, security breach, or misuse involving your account.
We reserve the right to disable accounts or credentials if we believe these Terms have been violated.
Your Content
“Your Content” means any Content you submit, upload, record, transmit, distribute, publish, broadcast, or otherwise make available through the Platform, including audio, video, voice submissions, comments, messages, profile information, broadcasts, recordings, and related materials.
You retain ownership of Your Content.
However, by submitting or distributing Your Content through the Platform, you grant MIC’D UP® a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty-free, fully paid license to host, store, reproduce, distribute, display, perform, modify, edit, create derivative works from, publish, archive, promote, market, monetize, advertise, and otherwise use Your Content in connection with operating, improving, distributing, promoting, monetizing, and providing the Platform and related services.
This license includes the right to create clips, highlights, promotional materials, sponsor-presented content, archived recordings, derivative works, and social media distributions derived from Your Content.
You represent and warrant that:
- You own or control all rights necessary to submit Your Content;
- Your Content does not violate any law or third-party rights; and
- Your Content complies with these Terms and applicable laws.
You remain solely responsible for Your Content.
Content Standards
All Content must comply with applicable laws and these Terms.
Content must not:
- Be defamatory, obscene, abusive, hateful, threatening, harassing, discriminatory, or unlawful;
- Promote violence, discrimination, or illegal conduct;
- Infringe intellectual property, publicity, privacy, or contractual rights;
- Contain malicious software, harmful code, or security threats;
- Misrepresent identity or affiliation;
- Include unauthorized advertising, spam, or commercial solicitation;
- Interfere with the safety, integrity, functionality, monetization, or operation of the Platform.
We reserve the right, but not the obligation, to monitor, review, remove, restrict, mute, demonetize, disable, or terminate Content, broadcasts, participation, or accounts that violate these Terms.
Third-Party Content
The Platform may contain links to or integrations with third-party content, websites, applications, services, products, advertisements, sponsors, or materials (“Third-Party Content”).
MIC’D UP® does not control or endorse Third-Party Content and is not responsible for any loss or damage arising from your access to or use of Third-Party Content.
Your use of Third-Party Content is at your own risk and subject to the applicable third-party terms and policies.
Copyright and DMCA
MIC’D UP® respects intellectual property rights and complies with applicable copyright laws, including the Digital Millennium Copyright Act (“DMCA”).
If you believe content available on the Platform infringes your copyright, please provide written notice to our designated copyright agent including all information required under 17 U.S.C. §512(c).

Termination
You may terminate your account at any time by discontinuing use of the Platform and deleting your account.
MIC’D UP® may suspend, restrict, limit, demonetize, or terminate access to the Platform at any time for any reason, including violations of these Terms.
Upon termination:
- Your right to access and use the Platform immediately ceases; and
- Certain provisions of these Terms will survive termination, including provisions relating to licenses, indemnification, disclaimers, limitations of liability, arbitration, ownership rights, and accrued obligations.
Indemnification
You agree to defend, indemnify, and hold harmless MIC’D UP®, its affiliates, licensors, partners, sponsors, service providers, employees, officers, directors, agents, successors, and assigns from any claims, liabilities, damages, losses, expenses, judgments, settlements, or costs, including reasonable attorneys’ fees, arising from:
- Your use of the Platform;
- Your Content;
- Your participation on the Platform;
- Your violation of these Terms; or
- Your violation of applicable law or third-party rights.
Disclaimers of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
MIC’D UP® DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND PERFORMANCE.
MIC’D UP® DOES NOT GUARANTEE THAT THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION, ERROR, DELAY, SECURITY ISSUE, OR HARMFUL COMPONENTS.
YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK, INCLUDING THE RISK OF EXPOSURE TO OFFENSIVE, INACCURATE, OBJECTIONABLE, OR UNAUTHORIZED CONTENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIC’D UP®, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR LOST PROFIT DAMAGES ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF MIC’D UP®, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR ANY CONTENT EXCEED THE GREATER OF:
(A) ONE HUNDRED U.S. DOLLARS (US $100); OR
(B) THE TOTAL AMOUNTS PAID BY YOU TO MIC’D UP® DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
CERTAIN JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.
Governing Law and Arbitration
These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association in Santa Clara County, California.
YOU AND MIC’D UP® AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING.
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.
Miscellaneous
These Terms constitute the entire agreement between you and MIC’D UP® regarding the Platform.
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
MIC’D UP® may assign these Terms without restriction. You may not assign your rights or obligations without prior written consent.
Any feedback, ideas, suggestions, or proposals submitted to MIC’D UP® may be used without restriction or compensation.
